A law firm is an entity formed by lawyers to engage in the practice of law, the number of lawyers generally vary from one to many. The most common service that is provided by a law firm is to provide advice to their clients about their legal issues, rights and other responsibilities. They also represent their clients in civil or criminal cases, business transactions and other legal matters which require any type of legal backing. Law firms are generally made up by a number of partners; the partners may or maybe lawyers. These partners are joint owners of the company; all the business directions and general decisions are taken by these owners only, associates who are the employees of the firm can partners only after serving for a period of 9 years in the company. Those associates who are not chosen as the partner of the company are required to resign after this period and are free to practice alone and they also have an option of working in-house in a corporate legal department.

A small firm is a law firm that that deals only with some specific areas of law practice, these types of firms generally contains very small number of lawyers as compared to big firms which contains a large number of employees. The firm in which only a single lawyer is practicing is also referred as small law firm. Their specific areas of focus can be anything in the law like patent law, labor law, tax law, criminal, defense, personal injury etc.

A small law firm is organized in variety of ways depending upon the jurisdiction in which the firm is practicing in general such as sole proprietorship, in this firm the attorney is the law firm and is responsible for all the profit, loss and liability. In General partnership all of the attorneys in the firm equally share ownership and liabilities. A professional corporation is another type of law firm which issue stock to the attorneys in a fashion similar to that of a business corporation. In a limited liability company in which the attorney-owners are called members but they are not straightforwardly accountable to the third party creditors of the law firm. Neither in a limited liability partnership attorney-owners are partners with one another, but no partner is liable to any creditor of the law firm nor is any partner liable for any negligence on the part of any other partner.
